How to Incorporate a Company in Estonia Using a Notarized Power of Attorney Without E-Residency

Starting a company in Estonia is attractive for many entrepreneurs due to its straightforward business environment and digital infrastructure. While e-residency has made company formation easier for foreigners, it is not the only way to establish a business in Estonia. If you do not have e-residency (for example it was refused), you can still incorporate a company by using a notarized power of attorney with an apostille. This method allows you to appoint a trusted representative in Estonia to handle the registration process on your behalf.
The most common business form is the private limited company (osaühing or OÜ) with a minimum sharecapital of 1 eurocent.
In the context of Estonian company incorporation, a notarized and apostilled PoA allows your representative in Estonia to:
Submit the company registration application
Sign documents related to the company formation
Submit all the details regarding the incorporation
The PoA must clearly state the scope of authority granted and be notarized by a public notary in your country or in Estonia.
While it is very useful to have a digital id (such as e-residency) for running the company, it is not a legal requirement. A bank account (such as Wise or Revolut) can be opened without a digital id and also daily business can be conducted, as well as presenting an annual report.
