The best way to have a foreign company own an Estonian company
Selling a share in an Estonian company to a foreign legal person/company can be tricky and time consuming. It requires a notary and a lot of paperwork.
Due to some rules there is a way to do it faster.
Firstly, you need to incorporate a company as a physical person with a sharecapital of at least 10 000 euros.
A company with at least 10 000 euros sharecapital can abolish the requirement of the notarial share transaction and this needs to be inserted into the articles of association by shareholder decision.
Once all of that is done, a share can be sold without a notary by a simple agreement to a foreign entity. The petition for that requires a digital signature and can be done by a management board member.
